OTHER EVENTS. Default in Indebtedness Arch Wireless Communications, Inc. ("AWCI"), a wholly owned subsidiary of Arch Wireless, Inc. (the "Registrant"), is today in default under its outstanding 12-3/4% Senior Notes due 2007 for nonpayment of interest due on July 2, 2001. This default also constitutes a default under (i) AWCI's 9-1/2% Senior Notes due 2004, (ii) AWCI's 14% Senior Notes due 2004 and (iii) the Third Amended and Restated Credit Agreement, dated as of March 23, 2000, as amended, by and among Arch Wireless Holdings, Inc., an indirect wholly owned subsidiary of the Registrant, The Bank of New York as administrative agent and the other lenders party thereto. In addition, AWCI has deferred the interest payment due on August 1, 2001 under its 9-1/2% Senior Notes.
