Item 1.01 Entry into a Material Definitive Agreement.
In connection with the Companys annual grant of stock-based awards to its non-employee Directors and executive officers, the Company is filing its 2011 Omnibus Incentive Compensation Plan restricted stock and non-qualified stock option grant agreements as Exhibit 10.1 through Exhibit 10.4 to this Current Report on Form 8-K.

The Annual Meeting of Stockholders of AMETEK, Inc. (the Company) was held on May 8, 2018. The following matters were voted on at the Annual Meeting and received the number of votes indicated:
