Herc Holdings Inc. (NYSE: HRI) (“Herc” or the “Company”) today announced that its wholly owned subsidiary, Herc Holdings Escrow, Inc. (the “Escrow Issuer”), intends to offer $2,750 million aggregate principal amount of senior unsecured notes due 2030 and senior unsecured notes due 2033 (together, the “notes”) in a private offering (the “Offering”) exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), subject to market and other conditions. The terms of the notes will be determined at the time of pricing of the notes.
The Offering is part of the financing for the Company’s proposed acquisition (the “Acquisition”) of H&E Equipment Services, Inc. (“H&E”). On February 19, 2025, the Company announced it would acquire H&E. Under the terms of the Acquisition agreement, the Company has commenced a tender offer to acquire all of the outstanding shares of common stock of H&E in exchange for, on a per-share basis, (i) $78.75 in cash and (ii) 0.1287 shares of Herc common stock, in each case, without interest and less any applicable withholding taxes. Following completion of the tender offer, Herc will acquire all remaining shares not tendered in the tender offer through a second-step merger at the same price as in the tender offer.
To the extent the Offering does not close concurrently with the Acquisition, the Escrow Issuer, which was created solely to issue the notes, will deposit the gross proceeds of the Offering into segregated escrow accounts until the date that certain escrow release conditions are satisfied. Upon the closing of the Acquisition, the Escrow Issuer will merge with and into the Company, and, to the extent the Offering does not close concurrently with the Acquisition, the escrow proceeds will be released. The Company will thereupon assume the obligations under the notes. To the extent the Offering closes concurrently with the Acquisition, the Company will issue the notes, and the escrow provisions described above will not apply. Upon the closing of the Acquisition, the notes will be guaranteed on a senior unsecured basis, subject to limited exceptions, by the Company’s current and future domestic subsidiaries, including Herc Rentals Inc., and each of H&E and its current and future domestic subsidiaries.
Upon the closing of the Acquisition and release of the net proceeds of the Offering from the escrow account (if applicable), the Company intends to use the net proceeds from the Offering, together with the proceeds of other financing transactions related to the Acquisition, to (i) finance the consummation of the Acquisition, (ii) fund the redemption of existing outstanding indebtedness of H&E, and (iii) pay related fees, costs, premiums and expenses in connection with these transactions.
The notes will be offered and sold to persons reasonably believed to be qualified institutional buyers in the United States pursuant to Rule 144A under the Securities Act and outside the United States pursuant to Regulation S under the Securities Act.
