On April 27, 2009, XL Capital Ltd issued the press release attached as Exhibit 99.1 and incorporated by reference herein announcing the results for the first quarter ended March 31, 2009.

Item 8.01. Other Events.

Upon Mr. Brian M. O' Hara's retirement as Chairman of the Board of Directors of XL Capital Ltd, the Board of Directors elected Mr. Robert R. Glauber, its former Lead Director, as Non-Executive Chairman of the Board.
