Item 8.01. Other Events.
On November 10, 2005, Charles Conrardy filed a shareholder derivative action on behalf of HCA Inc.
(the Company) in the United States District Court, Middle District of Tennessee, Nashville
Division, against certain of the Companys directors and executive officers. The complaint asserts
breach of fiduciary duty and other claims based, among other things, upon the allegations contained
in the class action lawsuit previously disclosed and other matters. The complaint seeks monetary
damages against the individual defendants and other relief.
