Item 8.01 Other Events.
On April 27, 2005 Matria Healthcare, Inc. (the Company) mailed a notice of redemption to the holders of its 4.875% convertible senior subordinated notes due 2024 (the Notes). Prior to May 27, 2005, (the Redemption Date), all outstanding Notes were converted by the holders thereof into shares of the Companys common stock. As a result of the complete conversion of the Notes, the Company has issued an aggregate of 4,387,772 shares of common stock (the Conversion Shares). In addition, on the Redemption Date, the Company paid a Make-Whole Payment of $15,499,664.55 in cash to the former holders of the Notes.
The Company has previously filed a Registration Statement on Form S-3 (Registration No. 333-116200) that may be used by the holders of the Conversion Shares named in the prospectus included in the Registration Statement for the resale of such Conversion Shares.
