Item 2.02 Results of Operations and Financial Condition

     On May 3, 2005, Technical Olympic USA, Inc. (the “Company”) issued a press release reporting financial results for the three months ended March 31, 2005, increasing earnings and EBITDA guidance for 2005, revising revenue and operational guidance for 2005, and providing sales order guidance for 2005. A copy of the press release is attached as Exhibit 99.1.
