Pardus Capital Management L.P., a Delaware limited partnership ("PCM"), serves as the investment manager of the Fund and possesses sole power to vote and direct the disposition of all Shares held by the Fund. Pardus Capital Management LLC, a Delaware limited liability company ("PCM LLC"), as the general partner of PCM, and Mr. Karim Samii, as the sole member of PCM LLC, may be deemed to be the beneficial owners of all Shares held by the Fund; however, PCM LLC and Mr. Samii disclaim beneficial ownership of all Shares held by the Fund. This Item 4 is hereby amended by adding the following: "After an evaluation of options, the Reporting Persons and certain of their associates filed a Preliminary Proxy Statement on Schedule 14A (the "Proxy Statement") dated December 5, 2005 with the Securities and Exchange Commission in connection with the Annual Meeting. The Proxy Statement relates to the solicitation of proxies to elect Charles J. Burdick, Barry R. Elson and Don R. Kornstein to serve as Class III directors on the Company's board of directors and to approve and adopt a binding resolution to repeal each provision or amendment of the By-laws of the Company, if any, adopted by the board of directors without the approval of the Company's stockholders subsequent to May 25, 2005 (purportedly the last date of reported changes) and prior to the approval and adoption of such resolution at the Annual Meeting. A copy of the Proxy Statement has been attached as Exhibit 7.
