Item 1.01 Entry into a Material Definitive Agreement

On October 5, 2007, Spectra Energy Partners OLP, LP, as Borrower, and Spectra Energy Partners, LP, as Guarantor, entered into an amendment to the Borrower’s credit agreement with Wachovia Bank, National Association, as Administrative Agent, and the other lenders party thereto to adjust the definitions of “Consolidated EBITDA” and “Qualified Projects” under the Borrower’s credit agreement. The full text of the amendment is attached hereto as Exhibit 10.1.
