ITEM 5.03(a). AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS.
On February 16, 2006, the Weyerhaeuser Company Board of Directors approved an amendment to the
company Bylaws. The Bylaw amendment provides that any director who is appointed to fill a vacancy
on the Board would be required to stand for election by the shareholders at the next annual meeting
of shareholders.
