Item 8.01 Other Events

     On July 1, 2009, PowerSecure International, Inc., a Delaware corporation (the “Company”), issued a press release announcing that it had been selected by three major investor-owned electric utilities to provide infrastructure upgrades, construction, and maintenance services for their transmission and distribution systems. A copy of the Company’s press release containing this announcement is filed herewith as Exhibit 99.1 and incorporated herein by this reference.
