The
Registrant’s Annual Report on Form 10-K for the year ended December 31,
2010 cannot be filed within the prescribed time period due to delays in
obtaining updated information concerning the operation of the Registrant
and, therefore, the Registrant and its auditors were unable to complete
their review in a timely manner without unreasonable effort and expense.
The Registrant’s Annual Report on Form 10-K will be filed on or before the
15th calendar day following the prescribed due
date.

believes that it will report. a net loss of
approximately $2.6 million for the year ended December 31, 2010
as compared to net income of $522,266 for the year ended December 31,
