Results of Operations and Financial Condition. |
In accordance with General Instruction B.2. of Form 8-K, the following information, including Exhibit 99.1, shall not be deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to liability under that section, and such information and Exhibit shall not be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by specific statement or reference in such a filing.
On July 16, 2007, St. Mary Land & Exploration Company (“the Company” or “St. Mary”) issued a press release updating its second quarter and full-year 2007 guidance and provided an update of its operations. A copy of the press release is furnished as Exhibit 99.1 to this report. As indicated in the press release, the Company has scheduled a related second quarter 2007 earnings teleconference call for August 3, 2007, at 8:00 am (MDT). The teleconference call is publicly accessible, and the press release includes instructions as to when and how to access the teleconference and the location on the Company’s web site where the teleconference information will be available.

On July 16, 2007, St. Mary Land & Exploration Company issued a press release which announced the appointment of Stephen Pugh as Senior Vice President of St. Mary and Regional Manager of the ArkLaTex region. Mr. Pugh will succeed David Hart, who is retiring from the Company. Additionally, the Company announced Greg Leyendecker has been appointed Vice President of St. Mary and Regional Manager of the Gulf Coast region. A copy of the press release is filed as Exhibit 99.1 to this report.
