Recent Development
On 17 May 2011 BP announced that the share swap agreement with Rosneft and the related Arctic opportunity cooperation and framework agreements, originally announced on 14 January 2011, have lapsed. Following announcement of the Rosneft transactions in January, BP’s partners in TNK-BP obtained an interim order from the High Court in London restraining BP from taking any further steps in relation to the Rosneft transactions pending an expedited arbitration procedure in accordance with the TNK-BP shareholders agreement. An interim injunction was issued in those arbitration proceedings which was subsequently modified by consent to allow the share swap to proceed under certain circumstances, however, those circumstances did not arise by the deadline of 16 May 2011 agreed with Rosneft.
BP had conducted detailed negotiations to seek a resolution of issues between the parties during past weeks, however, such a resolution had not been found by the 16 May deadline for the satisfaction of conditions precedent under the share swap agreement. Accordingly, the share swap agreement, and the related cooperation and framework agreements which were conditional on the share swap agreement, are now terminated and no longer of any force or effect.
