State below in reasonable detail the reasons why Form 10-K and Form 10-KSB, 20-F, 10-Q and Form 10-QSB, N-SAR, or the transition report or portion thereof could not be filed within the prescribed period.

On November 7, 2003 the registrant accepted the resignation of its certifying accountant and appointed a new certifying accountant. The previous certifying accountant had not registered with the PCAOB and had decided to discontinue its SEC practice. Insufficient time is available for the new certifying accountant to complete its review of the third quarter financial statements in order to file the 10-QSB by the due date.
