ITEM 8.01 OTHER EVENTS.
On May 18, 2015, the Registrant, through WHLR-Sunshine Shopping Plaza, LLC, a Delaware limited liability company (“WHLR-Sunshine Shopping Plaza”) and a wholly-owned subsidiary of Wheeler REIT, L.P., a Virginia limited partnership of which the Registrant is the sole general partner, entered into a Purchase and Sale Agreement (the “Purchase Agreement”) as buyer, with CRP II-Sunshine Plaza, LLC, a Florida limited liability company, as seller (the “Seller”), for the purchase of a retail shopping center located in Lehigh Acres, Florida, commonly known as Sunshine Shopping Plaza, for the sales price of Ten Million Three Hundred Fifty Thousand and 00/100 Dollars ($10,350,000).

No director, officer or affiliate of the Registrant is affiliated with the Seller.
