PART III--NARRATIVE
 
State below in reasonable detail why forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period.
 
The Registrant is not able to file its Annual Report on Form 10-K for the year ended August 31, 2012 on or prior to November 29, 2012 primarily because of the impact of Hurricane Sandy and its aftermath on the Registrant and certain of its professional service providers involved in the preparation of the Registrant's Annual Report. The Registrant's headquarters are located in northern New Jersey, which sustained power interruptions lasting over two weeks as a result of Hurricane Sandy. These power interruptions forced the Registrant's headquarters to be closed for two weeks, which contributed to the delayed of the completion of the Registrant's annual audit and preparation of the Form 10-K.  As a result, the Registrant is unable to file its Form 10-K on a timely basis without unreasonable effort and expense. The Registrant’s Annual Report on Form 10-K will be filed on or before the 15th calendar day following the prescribed due date.
