ITEM 8.01 OTHER EVENTS.
On October 25, 2006, Arbor Realty Trust, Inc. (the "Company") issued a
press release announcing that its Board of Directors has declared a quarterly
cash dividend of $0.58 per share of common stock for the quarter ended September
30, 2006, which is payable on November 22, 2006 to common shareholders of record
on November 8, 2006. A copy of the press release is attached hereto as Exhibit
99.1.
