(1)	The original Form 4 filed by the reporting person inadvertently stated that a different number of shares were subject to this transaction. That also affected the number of shares shown as beneficially owned in Column 5 of Table I by Eagle's Wing Foundation. This amended form relects the correct number of shares subject to that transaction and the amount of securities shown as being beneficially owned in Column 5 of Table I by that entity after giving affect to all of the transactions reported on the original Form 4.
(2)	Mr. Morean is a director of Eagle's Wing Foundation, a private charitable foundation, and may be deemed to have shared voting and dispositive power over shares held by the foundation. Mr. Morean disclaims beneficial ownership of these shares because he has no pecuniary interest therein.
