This Current Report on Form 8-K is being filed to disclose certain information regarding litigation related to the proposed transactions contemplated by the previously announced Agreement and Plan of Merger, dated as of March 11, 2018, by and between Civista Bancshares, Inc. (Civista), Civista Bank, United Community Bancorp (United Community), and United Community Bank, pursuant to which United Community will merge with and into Civista (the Merger).
On June 21, 2018, Paul Parshall, a purported stockholder of United Community, filed a putative class action lawsuit in the Superior Court for the State of Indiana, Dearborn County, captioned Parshall v. United Community Bancorp, et al. (Case No. 15D02-1806-PL-000048), against United Community, the members of United Communitys Board of Directors, United Community Bank, Civista and Civista Bank on behalf of all of United Communitys public stockholders. The lawsuit alleges that United Communitys proxy statement for the special meeting of United Community stockholders to be held on July 24, 2018 to vote on the Merger omitted certain material information, which rendered the proxy statement false and misleading. The lawsuit also alleges that United Communitys directors breached their fiduciary duties in the sale process, and that all of the corporate defendants aided and abetted in the alleged breaches of fiduciary duties. The relief sought in the lawsuit includes preliminary and permanent injunction against the consummation of the Merger, rescission or rescissory damages if the Merger is completed, costs and attorneys fees. The defendants believe that the claims are without merit and intend to defend against the suit vigorously. However, at this time, it is not possible to predict the outcome of the lawsuit or the impact on United Community, Civista or the Merger.
