Tax Redemption:   The Notes are redeemable, in whole but not in part, in the event of certain changes in the tax laws of the United States (or any taxing authority in the United States). This redemption would be at a redemption price equal to 100% of the principal amount of the notes being redeemed plus any accrued and unpaid interest and additional amounts then payable with respect to the notes to, but not including, the redemption date.
