(a) Citizens Financial Group, Inc. (the “Company”) held its annual meeting of stockholders on April 28, 2016.

(b) The stockholders elected all of the Company’s nominees for director for a one-year term expiring at the 2017 Annual Meeting of Stockholders; ratified the appointment of Deloitte & Touche LLP as the Company’s registered independent public accounting firm for 2016; and approved the advisory vote on executive compensation.
