On December 8, 2014, Agios Pharmaceuticals, Inc. (the “Company”) received notice that Celgene Corporation (“Celgene”) has elected to extend the discovery phase of the strategic collaboration between the Company and Celgene by one year, extending the period of exclusivity from five years to six years through April 2016. As a result of the extension, the Company will receive a $20.0 million extension payment from Celgene, which payment is expected by the end of the second quarter of 2015. The extension marks the final year for the discovery phase as outlined under the terms of the collaboration. On December 8, 2014, the Company issued a press release announcing the extension. A copy of the press release is being filed as Exhibit 99.1 to this report.
