Item 1.01. | Entry into a Material Definitive Agreement. |
On December 4, 2013, Regional Management Corp. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Stephens Inc., as representative of the underwriters named therein (the Underwriters), and: (i) Palladium Equity Partners III, L.P., an existing stockholder of the Company and an affiliate of Palladium Equity Partners; (ii) Parallel 2005 Equity Fund, LP, an existing stockholder of the Company and an affiliate of Parallel Investment Partners; (iii) entities affiliated with Richard A. Godley, a director, existing stockholder and founder of the Company; and (iv) C. Glynn Quattlebaum, President and Chief Operating Officer of the Company and an existing stockholder and founder of the Company (the Selling Stockholders). Pursuant to the Underwriting Agreement, the Selling Stockholders agreed to sell 2,346,074 shares of the Companys common stock, par value $0.10 per share (the Common Stock), which includes an aggregate of 306,009 shares of Common Stock that the Underwriters had the right to purchase from the Selling Stockholders upon exercise of their over-allotment option, at a public offering price of $31.00 per share ($29.605 per share, net of underwriting discounts). The Underwriting Agreement contains customary representations, warranties, and covenants of the Company and also provides for customary indemnification by each of the Company, the Selling Stockholders, and the Underwriters against certain liabilities and customary contribution provisions in respect of those liabilities.
On December 10, 2013, the Selling Stockholders completed the sale of all 2,346,074 shares of Common Stock to the Underwriters pursuant to the Underwriting Agreement. The sale of the Common Stock by the Selling Stockholders was made pursuant to the Companys Registration Statement on Form S-3 (Registration No. 333-190453), including a prospectus supplement dated December 4, 2013 to the prospectus contained therein dated August 20, 2013, filed by the Company with the Securities and Exchange Commission pursuant to Rule 424(b)(3) under the Securities Act of 1933, as amended. The Company did not receive any of the proceeds from the offering.
