Item 8.01 Other Events.

On April 3, 2012, Prudential Financial, Inc. (the “Company”) issued a news release announcing the commencement of a consent solicitation from the holders of its 6.625% Medium-Term Notes, Series D, due 2037 to terminate two Replacement Capital Covenants made in favor of the holders of those notes. A copy of the news release is attached hereto as Exhibit 99.1.
