Voluntary Disclosure of Other Events

On December 5, 2011, Monro Muffler Brake, Inc. (the “Company”) announced that its Board of Directors had declared a quarterly cash dividend of $.09 per share for the third quarter of the Company’s 2012 fiscal year, ending March 31, 2012. The dividend will be payable on December 23, 2011 to shareholders of record as of December 13, 2011, including shares of common stock to which the holders of the Company’s Class C Convertible Preferred Stock are entitled.
