Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 1, 2010 Pain Therapeutics, Inc. (the “Company”) updated base salaries for certain of the Company’s named executive officers (as defined in Item 402(a)(3) of Regulation S-K promulgated by the Securities and Exchange Commission).

The base salaries for the following named executive officers effective January 1, 2010 were:

 

Nadav Friedmann, Ph.D., M.D.    Chief Medical and Operating Officer    $ 250,000
Grant L. Schoenhard, Ph.D.    Chief Scientific Officer    $ 250,000
