On July 10, 2008 Webster Financial Corporation (“Webster”) issued a press release announcing an update of Webster’s expected results for the quarter ended June 30, 2008. A copy of the press release is attached herto as Exhibit 99.1 and incorporated onto this Item 2.02 by reference.
