Press Release and OSC Material Change Report re: Name Change

On June 18, 2007 the Registrant issued a Press Release relating to the change of the Registrant’s name to Copernic Inc. (“Copernic”) and filed a Material Change Report with the Ontario Securities Commission respecting the name change to Copernic. The Registrant hereby furnishes copies of the Press Release and the Material Change Report, respectively dated June 18, 2007 and attached as Exhibits 99.1 and 99.2 hereto.
