Item 8.01 Other Events.

On March 19, 2007, Nuvelo, Inc. received a summons related to a derivative suit that had been filed in the Superior Court for California, San Mateo County, by an alleged individual stockholder of Nuvelo, purportedly on behalf of Nuvelo against certain of Nuvelo’s current and former officers and directors. The complaint alleges among other claims, that the defendants breached their fiduciary duties to Nuvelo by issuing or failing to prevent the issuance of purportedly false and misleading statements between January 5, 2006 and December 11, 2006 relating to the clinical trial results of alfimeprase, which we announced on December 11, 2006, and that certain defendants benefited from these actions.

It is possible that other similar lawsuits may yet be filed. To the extent similar cases are filed and we believe such cases may be consolidated, we do not intend to file further Current Reports on Form 8-K describing such additional lawsuits.
