Item 8.01 Other Events.

On November 14, 2006, Prudential Financial, Inc., a New Jersey corporation (the “Company”), issued a news release announcing that its Board of Directors has declared an annual dividend for 2006 of $0.95 per share of Common Stock and has authorized the repurchase of up to $3 billion of its outstanding Common Stock during calendar year 2007 under the Company’s share repurchase program. The news release is attached as Exhibit No. 99.0.

The 2006 dividend will be payable on December 21, 2006 to shareholders of record at the close of business on November 27, 2006.

The timing and amount of any share repurchases under the share repurchase authorization will be determined by management based on market conditions and other considerations, and such repurchases may be effected in the open market, through derivative, accelerated repurchase and other negotiated transactions and through plans designed to comply with Rule 10b5-1(c) under the Securities Exchange Act of 1934, as amended.
