Item 7.01. FD Disclosure
Seagate announced in a press release, attached as Exhibit 99.1 hereto, that its board of directors has authorized the repurchase of up to $400 million of the companys outstanding shares of common stock. On October 18, 2005, Seagate repaid its existing term loan of $341 million and is in the process of restructuring its existing revolving line of credit in order to permit the company to repurchase its shares.
