(2) The amount being registered also includes an indeterminate number of Ordinary Shares which may be offered as a result of stock splits, stock dividends and anti-dilution provisions and other terms, in accordance with Rule 416 under the Securities Act of 1933.

 

(3) Calculated in accordance with Rule 457(h) under the Securities Act of 1933 on the basis of €16.00, the price at which the options granted under the Thomson September 22, 2004 Stock Option Plan may be exercised, and an exchange rate of $1.27 per €1.00, the Federal Reserve Noon Buying Rate on October 20, 2004. Offering prices are estimated solely for purposes of calculating the registration fee.

 

(4) Represents options (“New Options”) to purchase Ordinary Shares of Thomson to be granted to eligible employees in exchange for options outstanding under the Thomson December 18, 2000 Stock Option Plan and the Thomson October 12, 2001 Stock Option Plan. The New Options were granted under the Thomson September 22, 2004 Stock Option Plan and will be exercisable for Ordinary Shares that may be sold to eligible employees thereunder. The New Options are being registered to the extent that Section 3(a)(9) of the Securities Act of 1933 may be deemed not to be available but are not being registered for the purpose of offers and sales outside the United States.

 

(5) Offering prices of the New Options are calculated in accordance with Rule 457(f) under the Securities Act of 1933 based on the Black-Scholes option pricing model and assuming that options issued under existing plans to purchase 1,912,900 Ordinary Shares having an aggregate value of $10,813,076 as of October 20, 2004 will be exchanged for New Options to be issued under the Thomson September 22, 2004 Stock Option Plan. Offering prices in U.S. dollars are based on an exchange rate of $1.27 per €1.00, the Federal Reserve Noon Buying Rate on October 20, 2004, and are estimated solely for the purpose of calculating the registration fee.
