Item 2.02.    Results of Operations and Financial Condition
 
On February 4, 2011, Knoll, Inc. (the "Company") issued a press release reporting its financial results for the three- and twelve-month periods ending December 31, 2010. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

The Company makes reference to non-GAAP financial measures in the attached press release. A reconciliation of these non-GAAP financial measures to the comparable GAAP financial measures is contained in the attached press release.

On February 2, 2011, Arthur C. Graves, the Company's Executive Vice President - Sales and Distribution, communicated to the Company his intention to retire effective May 2, 2011.
 
 
Item 8.01.    Other Events
 
On January 31, 2011, Jeffrey R. Blom joined the Company as its Senior Vice President - North America Supply Chain. Mr. Blom will report to Lynn M. Utter, the Company's President and Chief Operating Officer, Knoll North America. Mr. Blom has more than 30 years of operational experience with several Fortune 500 companies.
