On April 9, 2007, Chase Carey, a director of News Corporation (the "Company") announced that he intends to resign as a member of the Company's Board of Directors effective upon, and subject to, the closing of the transactions contemplated under that certain Share Exchange Agreement, dated as of December 22, 2006, by and between the Company and Liberty Media Corporation. Mr. Carey's resignation is not due to any disagreement with the Company.
