Item 3.01.    Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing
 
On June 20, 2005, the Board of Directors of NutriSystem, Inc. (the "Company") unanimously approved a resolution authorizing and directing the officers of the Company to withdraw the listing of the Company's common stock, $0.001 par value per share (the "Common Stock"), from the American Stock Exchange and to list such common stock on the NASDAQ National Market. On June 22, 2005, the Company withdrew from the American Stock Exchange. On June 23, 2005, the Company completed the listing of the Common Stock on the NASDAQ National Market and commenced trading under the symbol "NTRI."
