3.01 Notice of Delisting or Failure to Satisfy a Continued Listing
Rule or Standard
On April 7, 2009, Macquarie Infrastructure Company LLC, (the “Company” or “MIC”) was notified by the New York Stock Exchange (NYSE) that it had fallen below the NYSE’s continued listing standard related to the company’s total market capitalization. The NYSE requires that the average market capitalization of a company listed under the Valuation and Cash Flow Standard be not less than $75 million over a consecutive 30 trading-day period.
As required under listing standards, MIC intends to submit a plan to the NYSE within the required 45 day period that will summarize the steps it has and will take to achieve compliance with the continued listing standard within the prescribed 18 month cure period.
On April 14, 2009, the Company issued a press release regarding its receipt of the NYSE notification. The press release is furnished as Exhibit 99.1 to this Form 8-K.
