Item 8.01 Other Events
On May 3, 2005, USANA Health Sciences, Inc. issued a press release
announcing that its board of directors has authorized an additional $30 million
for share repurchases of its outstanding common stock. The release also
announced that share repurchases will be made from time-to-time, in the open
market, through block trades or otherwise, and will be funded with internally
generated cash. A copy of the press release is furnished herewith as Exhibit
99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
