Item 5.02    Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
 
On December 1, 2008, Multimedia Games, Inc. (the “Company”) announced that Randy Cieslewicz resigned as the Company’s Chief Financial Officer, effective on February 15, 2009, for personal reasons and to pursue other interests.

The Company has initiated a search to identify a successor as soon as possible.
