State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q,10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

As Celadon Group, Inc. (the "Company") previously disclosed, as of April 25, 2017, the Company's auditor, BKD, LLP ("BKD"), advised the Company it has determined that, based on additional information concerning transactions involving "revenue equipment held for sale," BKD has been unable to obtain sufficient appropriate audit evidence to provide a reasonable basis to support its previously issued reports on the Company's financial statements for its fiscal year ended June 30, 2016 and the quarters ended September 30, 2016 and December 31, 2016. In addition, BKD is not performing its normal review procedures with respect to the Company's Quarterly Report on Form 10-Q for its third fiscal quarter ended March 31, 2017. These events have resulted in unexpected time and resource constraints on the Company’s accounting staff and Audit Committee, including the evaluation of any potential additional disclosures and financial statement impacts that need to be reflected in the Form 10-Q. Accordingly, the Company’s filing of its Quarterly Report on Form 10-Q for its third fiscal quarter ended March 31, 2017, will be delayed. The Company is working to file the Form 10-Q as soon as possible, but its continued evaluation of the matters noted above may cause the Form 10-Q to be filed after the expiration of the five calendar day extension period provided by Rule 12b-25.

    The Company presently expects to report a net loss for the quarter ended March 31, 2017. Because of the Company’s continued evaluation of the matters noted in Part III above, it is not in a position to give more detailed estimated results for the period.
