Item 1.01  Entry into a Material Definitive Agreement.

The Registrant, effective January 27, 2010, engaged David F. Merrion, a director of the Registrant, to perform consulting services for it as an expert witness for patent prosecution with respect to diesel engine technology.  Mr. Merrion will be paid for his services, as requested from time to time by the Company, at the rate of $300 per hour or a daily maximum of $3,000 per day.
