EXPLANATORY NOTE
The Registrant is a Canadian issuer eligible to file its annual report pursuant to Section 13 of the Securities Exchange Act of 1934 (the Exchange Act) on Form 40-F. The Registrant is a foreign private issuer as defined in Rule 3b-4 under the Exchange Act. Accordingly, the Registrants equity securities are exempt from Sections 14(a), 14(b), 14(c), 14(f) and 16 of the Exchange Act pursuant to Rule 3a12-3.
The Registrant is permitted, under a multi-jurisdictional disclosure system adopted by the United States, to prepare this annual report on Form 40-F in accordance with Canadian disclosure requirements, which are different from those of the United States. In particular, and without limiting the foregoing, all mineral resource and reserve estimates included in this report have been prepared in accordance with Canadian National Instrument 43-101 and the Canadian Institute of Mining and Metallurgy (CIM) Classification System. These standards differ significantly from the requirements of the United States Securities and Exchange Commission (the Commission), and mineral resource and reserve information included herein may not be comparable to similar information concerning United States companies.
For definitions of the terms mineral reserve, mineral resource, measured mineral resource, indicated mineral resource and inferred mineral resource under CIM standards, and a summary of the differences between CIM and U.S. standards, see the sections entitled Information Concerning Preparation of Resource Estimates and Glossary and Defined Terms beginning on page iii of the Registrants Annual Information Form included in this report.
The Registrant has prepared its financial statements in accordance with and using accounting policies in full compliance with International Financial Reporting Standards (IFRS) as issued by the International Accounting Standards Board, after having transitioned from Canadian GAAP to IFRS with an adoption date of January 1, 2010. This is one year ahead of the Canadian Securities Administrators requirement for Canadian public companies to adopt IFRS by January 1, 2011. The impact of the transition from Canadian GAAP is explained in the Note 21 of the financial statements.
FORWARD LOOKING STATEMENTS
This report contains forward-looking statements concerning anticipated developments on the Registrants mineral properties in Eritrea and in the Registrants other operations; planned exploration and development activities; the adequacy of the Registrants financial resources; financial projections, including, but not limited to, estimates of capital and operating costs, production, grades, processing rates, life of mine, metal prices, exchange rates, reclamation costs, net present value, internal rates of return and payback; and other events or conditions that may occur in the future. Forward-looking statements are frequently, but not always, identified by words such as expects, anticipates, believes, intends, estimates, potential, possible, budget and similar expressions, or statements that events, conditions or results will, may, could or should occur or be achieved. Information concerning the interpretation of drill results and estimates of mineral resources and reserves also may be deemed to be forward-looking statements, as such information constitutes a prediction of what mineralization might be found to be present if and when a project is actually developed. Forward-looking statements are statements about the future and are inherently uncertain, and actual achievements of the Registrant or other future events or conditions may differ materially from those reflected in the forward-looking statements due to a variety of risks, uncertainties and other factors, including, without limitation, those described in the Annual Information Form of the Registrant included in this report.
-3-
The Registrants forward-looking statements are based on the beliefs, expectations and opinions of management on the date the statements are made and the Registrant assumes no obligation to update such forward-looking statements in the future. For the reasons set forth above, investors should not place undue reliance on forward-looking statements.
