We prepare our financial statements in accordance with International Financial Reporting Standards (IFRS) as issued by the International Accounting Standards Board.
Our common shares are listed on the Toronto Stock Exchange and the New York Stock Exchange. There are certain differences between the corporate governance practices applicable to us and those applicable to U.S. companies under the New York Stock Exchange listing standards. DISCLOSURE CONTROLS AND PROCEDURES
We maintain disclosure controls and procedures designed to ensure that information required to be disclosed in reports filed under the U.S. Securities Exchange Act of 1934, as amended, (the Exchange Act) is recorded, processed, summarized and reported within the appropriate time periods and that such information is accumulated and communicated to our management, including our Chief Executive Officer and Chief Financial Officer, as appropriate, to allow for timely disclosures regarding required disclosure. In designing and evaluating the disclosure controls and procedures, we recognize that any disclosure controls and procedures, no matter how well conceived or operated, can only provide reasonable, not absolute, assurance that the objectives of the control system are met, and management is required to exercise its judgment in evaluating the cost-benefit relationship of possible controls and procedures.
As required by Rule 13a-15(b) under the Exchange Act, we conducted an evaluation, under the supervision and with the participation of our management, including the Chief Executive Officer and the Chief Financial Officer, of the effectiveness of the design and operation of our disclosure controls and procedures as of December 31, 2012, the end of the period covered by this annual report on Form 40-F. Based on that evaluation, the Chief Executive Officer and Chief Financial Officer concluded that, as of December 31, 2012, the design and operation of the Companys disclosure controls and procedures provide reasonable assurance that they are effective.
MANAGEMENTS REPORT ON INTERNAL CONTROL OVER FINANCIAL REPORTING
Our management is responsible for establishing and maintaining adequate internal control over financial reporting. With the participation of the Chief Executive Officer and the Chief Financial Officer, our management conducted an evaluation of the effectiveness of our internal control over financial reporting based on the framework and criteria established in Internal ControlIntegrated Framework, issued by the Committee of Sponsoring Organizations of the Treadway Commission. Based on this evaluation, our management has concluded that our internal control over financial reporting was effective as of December 31, 2012. Because of inherent limitations, internal controls over financial reporting may not prevent or detect misstatement. In addition, projections of any evaluation of effectiveness to future periods are subject to the risks that controls may become inadequate because of changes in relevant guidelines or conditions in the control structure, or that the degree of compliance with policies or procedures may deteriorate. KPMG LLP, an independent registered public accounting firm for the Company that audited the financial statements of the Company as of December 31, 2012 and the periods then ended, has issued an attestation report, included herewith as an exhibit, addressing the effectiveness of the Companys internal control over financial reporting.
Changes in Internal Control over Financial Reporting
Except as noted below, there have been no changes to our system of internal control over financial reporting for the year ended December 31, 2012 or since that time that has materially affected, or is reasonably likely to materially affect, our internal control over financial reporting.
During 2012, Paracatu and the regional offices in Belo Horizonte, Brazil, and Las Palmas, Spain, converted to a new version of their ERP system, and Chirano converted to a new ERP system. The ERP system conversions have not resulted in any significant changes in internal controls during the year ended December 31, 2012. Management employed appropriate procedures to ensure internal controls were in place during and after the conversions.
AUDIT AND RISK COMMITTEE
The audit and risk committee of our Board of Directors is comprised of three directors: John A. Brough, chairman, John M.H. Huxley and Terence C.W. Reid. Each of the members of the audit and risk committee is independent as that term is defined in the listing standards of the New York Stock Exchange. The board of directors has determined that Mr. Brough is an audit committee financial expert as such term is defined in paragraph 8(b) of General Instructions B to Form 40-F. Information concerning Mr. Broughs relevant education and experience is included in his biographical information contained in the Companys Annual Information Form included as exhibit 99.1. The Securities and Exchange Commission has indicated that the designation of a person as an audit committee financial expert does not make such person an expert for any purpose, impose any duties, obligations or liabilities on such person that are greater than those imposed generally on members of the audit and risk committee and the board of directors who do not carry this designation, or affect the duties, obligations or liability of any other member of the audit and risk committee or board of directors.

Any amendments to the Code of Business Conduct and Ethics, including a description of such amendment, will be posted to the Companys website
and filed as an exhibit to the Companys subsequent annual report on Form 40-F. The Company did not grant any waivers under its Code of Business Conduct and Ethics during 2012.

Audit-related fees include fees related to due diligence and translation services. Tax fees were for tax compliance and advisory services. All Other Fees includes amounts for products and services related to other non-audit services.
The audit and risk committee is required to approve all services provided by our principal auditor. All audit services, audit-related services, tax services, and other services provided for the year ended December 31, 2012 were pre-approved by the audit and risk committee which concluded that the provision of such services by KPMG LLP was compatible with the maintenance of that firms independence in the conduct of its auditing functions.

Our off-balance sheet arrangements are disclosed in Kinross Managements Discussion and Analysis included as exhibit 99.2 under the caption Risk Analysis and in our financial statements under Note 11, Financial Instruments, Note 13, Long-term debt and credit facilities, and Note 20, Commitments and Contingencies to Kinross audited consolidated financial statements for the year ended December 31, 2012 included as an exhibit to this annual report on Form 40-F and incorporated herein by this reference.
CONTRACTUAL OBLIGATIONS
