Item 1.01. Entry into a Material Definitive Agreement
The description of the amendment to the Credit Agreement described below under Item 2.03 is incorporated in this Item 1.01 by reference.
Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant
On November 29, 2007, Global Operating LLC, Global Companies LLC, Global Montello Group Corp., Glen Hes Corp. and Chelsea Sandwich LLC, as borrowers, Global Partners LP (the Partnership) and Global GP LLC, as guarantors, each lender from time to time party thereto, and Bank of America, N.A., as Administrative Agent and L/C Issuer, entered into a Sixth Amendment to Credit Agreement (the Amendment) which amended the Credit Agreement dated October 4, 2005 (as amended, the Credit Agreement) among the aforementioned parties. The Amendment provides for a possible increase, at the request of the borrowers so long as there is no Default or Event of Default (as such terms are defined in the Credit Agreement) at the time of such request, of the working capital revolving credit facility by up to another $100.0 million, for a total working capital revolving credit facility of up to $750.0 million. Any such request for an increase by the borrowers must be in a minimum amount of $5.0 million.
All other material terms remain the same as disclosed in the Partnerships Prospectus dated September 29, 2005 (Registration No. 333-124755) and the Partnerships Current Reports on Form 8-K (File No. 001-32593) dated October 4, 2005, November 10, 2005, August 2, 2006, April 24, 2007, August 21, 2007 and October 23, 2007. The Amendment is filed hereto as Exhibit 10.1 to this Current Report and is incorporated herein by reference.
