Item 8.01

Pathfinder Bancorp, Inc. declared a cash dividend of $0.1025 per share on the Company’s common stock for the fiscal quarter ending June 30, 2008.  The dividend will be payable to all shareholders of record on July 15, 2008 and will be paid on July 31, 2008.
