On August 18, 2003, Oklahoma Gas and Electric Company, a subsidiary of OGE Energy Corp., signed an asset purchase agreement with NRG McClain LLC to purchase NRG McClain LLC's 77 percent interest in the NRG McClain Station. The asset purchase agreement, provided that, unless extended, either party has the right to terminate the contract if the closing does not occur on or before December 1, 2003. Prior to December 1, 2003, the parties agreed to amend the asset purchase agreement to extend this optional termination date to January 31, 2004.
