Merger Milestone Update
SEC Decision Clears Way for Special Meeting of Shareholders
 
Today the Securities and Exchange Commission declared AGL Resources’ Registration Statement on Form S-4 to be effective. The SEC’s decision allows AGL Resources and Nicor to distribute the joint proxy statement to shareholders and hold our respective special meetings of shareholders.
 
AGL Resources and Nicor will each hold a special meeting of shareholders on June 14, 2011, to vote on matters relating to the proposed merger. AGL Resources shareholders will vote on a proposal to approve the issuance of shares of AGL Resources common stock as contemplated by the merger agreement, as well as a proposal to amend our articles of incorporation to increase the maximum number of directors that may serve on our board from 15 to 16. Nicor shareholders will vote on a proposal to approve the merger agreement.
 
The shareholders of record of each company as of April 18, 2011, will be mailed the joint proxy statement and will be entitled to vote at their respective company’s special meeting of shareholders, which will be held in Atlanta and Chicago respectively.
 
While this milestone takes us one step closer to closing, the merger is still conditioned upon the approval of the Illinois Commerce Commission. As part of the merger regulatory process, the ICC staff filed testimony yesterday and we will file our rebuttal in the coming weeks in accordance with the schedule established by the ICC. We continue to work through the remaining regulatory approvals and still expect to close on the merger in the second half of this year.
